1. Agreement to Terms

2.2 Independent Legal Entities: Each subsidiary, portfolio company, and affiliated entity operates as a separate and independent legal entity with its own:

  • Management team and operational control
  • Terms of service and contractual agreements
  • Privacy policies and data handling practices
  • Financial obligations and liabilities
  • Regulatory compliance requirements
  • Customer relationships and service delivery

2.3 No Liability for Subsidiary Actions: PeaceWeb Group expressly disclaims all responsibility and liability for any actions, omissions, decisions, products, services, content, or conduct of its subsidiaries, portfolio companies, or affiliated entities, including but not limited to:

  • Commercial transactions and contractual disputes
  • Product or service quality, performance, or delivery
  • Customer service issues or complaints
  • Data breaches, privacy violations, or security incidents
  • Intellectual property infringement claims
  • Employment matters and labor disputes
  • Regulatory violations or non-compliance
  • Financial obligations, debts, or insolvency

2.4 Direct Engagement Required: Any business dealings, service agreements, purchases, or other transactions must be conducted directly with the relevant subsidiary or portfolio company. PeaceWeb Group is not a party to such transactions and assumes no obligations thereunder.

2.5 Corporate Veil: The corporate veil between PeaceWeb Group and its subsidiaries shall be maintained at all times. No actions or representations by any subsidiary shall be deemed to bind PeaceWeb Group unless explicitly authorized in writing by an authorized officer of PeaceWeb Group.

3. Definitions

For the purposes of these Terms:

  • "Subsidiary" means any legal entity in which PeaceWeb Group holds a controlling or non-controlling equity interest.
  • "Portfolio Company" means any company or entity in which PeaceWeb Group has made an investment or holds equity.
  • "Affiliated Entity" means any entity related to PeaceWeb Group through ownership, control, or common management.

14.2 Mediation: If the parties cannot resolve the dispute informally within thirty (30) days, either party may initiate mediation proceedings in accordance with the rules of the Netherlands Mediation Institute (NMI).

15. Modifications to the Website

We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Website or any service, content, feature, or product offered through the Website with or without notice. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Website.

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Website, constitute the entire agreement between you and PeaceWeb Group concerning your use of the Website and supersede all prior or contemporaneous communications, agreements, and understandings, whether oral or written, between you and PeaceWeb Group regarding the subject matter hereof.

20. Assignment

21. Force Majeure

PeaceWeb Group shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

22. Language

These Terms are drafted in English. In the event these Terms are translated into other languages and there is a discrepancy between the English text and the text of any translation, the English text shall prevail.
